Website and Platform Terms of Service

Intrface Inc. | Version 1.0
Effective date: September 12, 2026
Last updated: September 12, 2026

These Website and Platform Terms of Service ("Terms") govern the use of the Intrface websites, software, event experiences, and related services identified below. They distinguish the responsibilities of business customers from those of individual participants. Please read them carefully, particularly the provisions on privacy, physical activities, rewards, service limitations, and liability.

Individual participants are not charged by Intrface for participation. The commercial payment, indemnity, and business liability provisions in Part II apply only to Clients, not to attendees using Intrface personally. Nothing in these Terms excludes rights or liabilities that applicable law does not permit the parties to exclude.

PART I. WEBSITE AND PLATFORM USE

1. Who we are, scope, and acceptance

1.1 Intrface. Intrface Inc., a Delaware corporation ("Intrface," "we," "us," or "our"), provides technology and related services for real-world engagement, event participation, networking, rewards, and measurement. Our mailing address is set out in Section 30. References to Intrface may include services previously branded INTRFAC3 where these Terms are expressly adopted for those services.

1.2 Services. "Services" means the Intrface-operated websites that present these Terms; attendee applications and profiles; partner portals, dashboards, and reporting tools; event and brand hubs; quests, challenges, leaderboards, and reward administration tools; staff-operated point-of-interaction tools; registration and credential-assignment functionality; NFC, QR, RFID, and other supported interaction or measurement functionality; integrations; and related deployment, configuration, support, and professional services supplied under an Order. Particular functionality is included only when made available for the relevant account or expressly included in an Order. Describing functionality here does not promise that it is available in every deployment.

1.3 Defined parties. A "Client" is a business, public body, nonprofit, or other organization that orders or receives Services for organizational purposes. An "Authorized User" is a person a Client authorizes to administer or operate its Services. A "Participant" is an individual who takes part in an event, activation, community, or other program supported by Intrface. "User" and "you" mean the person or organization using the relevant Services, as the context requires. An "Organizer" is the entity responsible for an event or activation, which may be the Client or another entity. A "Sponsor" is an entity supporting or participating in an activation. An "Order" is a written proposal, order form, statement of work, or other commercial document accepted by both Intrface and the Client and identifying the Services to be supplied.

1.4 Acceptance. You enter into these Terms by affirmatively accepting them through a clearly identified acceptance control, signing or electronically approving an Order that incorporates them, or otherwise validly agreeing after receiving reasonably conspicuous notice of them and an opportunity to review them. A person accepting for a Client must have authority to bind that Client. Acting as an Authorized User does not, by itself, make that person personally liable for the Client's fees or commercial indemnities.

1.5 No assumed agreement from tracking. Being included in an imported registration list, receiving a credential, entering a venue or RFID zone, or having information recorded does not, by itself, establish acceptance of these Terms or consent to processing personal information. Organizers and Intrface must use the applicable notice, acceptance, and consent arrangements. Website visitors who have not accepted these Terms remain subject to applicable law, including intellectual property law, independently of any contractual obligation.

2. Other agreements and order of precedence

2.1 Existing contracts. A separately executed master services agreement or other negotiated agreement with Intrface governs the Services it covers according to its own terms. These Terms do not retroactively amend an existing agreement, Order, or privacy permission. Where these Terms are incorporated into an Order, the version identified or supplied at acceptance applies to that Order unless the parties validly agree otherwise.

2.2 Priority. Mandatory law and mandatory international data-transfer provisions prevail. An applicable data processing agreement or data sharing agreement controls its specific privacy and processing subject matter. A separately executed master agreement controls over these Terms. An Order controls over these Terms for its expressly stated scope, deliverables, pricing, dates, and other expressly agreed departures. An Order does not override a master agreement or data protection agreement unless that agreement permits the override and the Order identifies it expressly. These Terms apply to remaining matters.

2.3 Event rules. Clearly presented event rules, prize rules, and venue requirements may supplement these Terms for a particular activation. They do not alter Intrface's obligations or authorize additional personal information uses unless Intrface validly agrees and all applicable legal requirements are met. A Client or Organizer cannot waive a Participant's rights on that Participant's behalf without lawful authority.

2.4 Privacy notices. The applicable Intrface Privacy Policy and event-specific privacy notices explain personal information practices. They are not a blanket consent to optional tracking, marketing, or disclosure. An Order or these Terms cannot authorize processing contrary to applicable law or override a more restrictive promise already applicable to the information concerned without the legally required process.

3. Eligibility, minors, and age-restricted experiences

3.1 Minimum age. The Services are for Users aged 13 or older. An individual who has not reached the age of legal majority where they live may use them only with the permission and involvement of a parent or legal guardian to the extent required by law. Where a minor cannot enter a binding agreement independently, an authorized parent or guardian must accept on their behalf through the applicable process. Business accounts and Orders require an adult with legal capacity and authority.

3.2 Quebec. For a Participant under 14 in Quebec, Intrface requires the consent of the holder of parental authority or tutor for personal information collection, use, and disclosure requiring consent. The general 13+ eligibility rule does not dispense with this requirement. Additional protections required for minors in other jurisdictions also apply.

3.3 Family participation. At family events, an adult may control and use their own account for their own participation. This does not authorize an account for a child under 13, the import of that child's personal information, a child-specific participation record, or a credential used to track that child. Linking a child's wristband to an adult's account does not change whose activity is being collected. Any proposed child-specific service requires a separate, expressly approved arrangement and the applicable child-protection safeguards before collection begins; it is not authorized by these Terms.

3.4 Youth protections. Intrface does not authorize Clients to use identifiable information about Participants under 18 for Sponsor lead generation, independent Sponsor marketing, or cross-event advertising profiles. Necessary event administration and prize fulfillment involving minors must use an approved, age-appropriate process and any required parental involvement. Optional location tracking and profiling for minors must remain disabled unless separately assessed, justified, and enabled through a lawful age-appropriate process. These restrictions do not prohibit age-appropriate continuity of a minor's requested account, badges, or participation history where lawful.

3.5 Restricted hubs. Alcohol-related and other age-restricted experiences may have higher eligibility requirements set for the relevant hub, activity, location, and product. You must not misstate your age or bypass a restriction. Clients and Organizers must identify applicable restrictions and use appropriate access and verification procedures. Platform gating does not replace physical identification checks, licensing obligations, or restrictions on supplying an age-restricted product. Intrface may decline or restrict an experience whose controls are inadequate.

4. Accounts, credentials, and authorized access

Provide accurate information and keep it reasonably current. Protect account credentials, verification codes, staff links, administrative access, and assigned devices. Notify Intrface promptly at the contact in Section 30 of suspected compromise, unauthorized access, or an incorrectly assigned credential. Do not impersonate another person, share access outside an approved operational arrangement, or claim a credential or reward belonging to someone else.

Clients must manage Authorized User permissions, remove access when no longer appropriate, and supervise staff operating registration, redemption, or reporting tools. Clients are responsible for activities they authorize or that result from their failure to exercise reasonable care over access under their control. These responsibilities do not shift to a Client or Participant losses caused by Intrface's own breach or responsibility under applicable law.

A staff-created event record is not automatically a Participant's independently accepted Intrface account. Identity matching, account claiming, and cross-event linkage must follow the applicable verification and privacy arrangements. Credentials and points are not transferable except through functionality or procedures expressly authorized for the relevant program.

5. Permitted use

Subject to these Terms and any Order, Intrface grants you a limited, nonexclusive, nontransferable right to access the Services made available to you for their intended purpose. Participants may use them for their own lawful participation. Clients and Authorized Users may use them for the organizational purposes and permitted audiences described in the Order. Agencies may operate experiences for disclosed clients where the Order authorizes that use. No general resale, sublicensing, white-label, or service-bureau right is granted.

You must comply with applicable law, reasonable published technical requirements, and the limits of your authorized account or Order. Ownership of a physical credential or product does not include ownership of Intrface software, source code, cloud services, or an entitlement to perpetual digital functionality.

6. Prohibited conduct

You must not use the Services to commit fraud, violate privacy or intellectual property rights, harass or threaten others, discriminate unlawfully, distribute malware, impersonate someone, or facilitate unlawful activity. Pornographic content, child sexual exploitation or abuse material, and content that promotes terrorism, suicide, self-harm, or dangerous illegal conduct are prohibited.

You must not interfere with the Services; access another Client's environment; evade access controls or age restrictions; exploit or conceal security weaknesses; conduct unauthorized penetration testing; scrape nonpublic information; harvest contact details; send unlawful or unsolicited marketing; or attempt to derive source code or circumvent technical protections except to the extent applicable law expressly permits and does not allow contractual restriction. Reasonable indexing of public pages by legitimate search engines is permitted subject to our published crawler instructions. Lawful accessibility tools and non-waivable interoperability rights are not prohibited.

You must not fabricate participation, clone or misuse tags or credentials, manipulate locations or timestamps, operate bots or multiple accounts to obtain an unfair reward advantage, falsify attendance, or interfere with another person's results. You must not use the Services for covert or unauthorized surveillance, discriminatory profiling, unlawful gambling, or the collection or inference of sensitive personal characteristics without a separately approved lawful deployment.

The Services are not authorized for emergency response, life-safety systems, medical decision-making, employee discipline, eligibility for credit, housing, employment, or other decisions with comparable legal or significant effects. Any proposed exception requires a separate written agreement and independently adequate safeguards; it is not included in an ordinary event deployment.

7. Events, physical activities, and third-party responsibilities

Intrface supplies the technology and the operational services expressly agreed in the Order. Unless Intrface expressly undertakes the relevant role in writing, it is not the event producer, venue operator, security provider, product supplier for a Sponsor's samples, or guarantor of an Organizer's promises. Assistance with experience design does not transfer the Organizer's control of the venue, crowd, program, or products to Intrface. Intrface remains responsible for the work it actually undertakes and for duties imposed on it by law.

Participants must use reasonable judgment, follow venue rules and staff directions, respect private property, and stop an activity that appears unsafe. Do not use a device while driving or undertake trespassing, climbing, unsafe exertion, or other hazardous conduct to complete a task. Participation in optional activities is voluntary. A digital instruction or reward opportunity is not permission to disregard safety requirements, access restrictions, or the law.

A scan, badge, leaderboard rank, digital credential, or access indicator is a technology record, not independent verification of identity, legal age, professional qualifications, entitlement to admission, or personal safety. Organizers must maintain appropriate verification and manual fallback procedures. These acknowledgments are not a release of liability for negligence, bodily injury, or other matters that cannot lawfully be released.

8. Quests, points, leaderboards, and rewards

8.1 Program conditions. Each Organizer or identified promotion operator is responsible for its published program rules, eligibility, required actions, dates and cutoffs, prize quantities, selection method, tie-breaking, verification, notification, and fulfillment, except to the extent an Order expressly assigns a particular responsibility to Intrface. Participants should review the rules before participating. A leaderboard position alone does not establish final prize entitlement before the stated cutoff and verification process.

8.2 No monetary balance. Intrface points, badges, levels, and other participation indicators are not money, cryptocurrency, stored value, a deposit, or an investment. They cannot be purchased, cashed out, or transferred except where an expressly authorized nonmonetary program feature permits transfer. Any right to redeem a benefit depends on the published rules and applicable law. Nothing here removes an enforceable entitlement to an earned or awarded prize.

8.3 Integrity and corrections. Intrface and the responsible Organizer may investigate suspected manipulation, correct recording or calculation errors, reject invalid activity, and apply proportionate disqualification under the published rules. Where reasonably practicable, affected Participants will receive a reason and a way to request review. Records may be affected by device compatibility, connectivity, credential assignment, or measurement limitations. Reasonable alternative evidence may be considered under the program's rules; no unsupported promise of perfect recording is made.

8.4 Changes and fulfillment. Programs may change or be cancelled only for legitimate operational, safety, legal, or integrity reasons and consistently with the published rules and applicable law. Material changes must be communicated appropriately. Intrface does not reserve an unrestricted right to confiscate properly earned benefits or retroactively change winning conditions. Sponsor-supplied products, delivery arrangements, eligibility checks, and any legally applicable prize taxes are the responsibility of the identified promotion operator and recipient as the law and rules provide.

8.5 Additional promotions. A promotion involving chance, regulated prizes, or unusual eligibility requirements must have approved official rules and any required legal arrangements before activation. These Terms do not themselves constitute official contest or sweepstakes rules or authorize a promotion merely because entry is free.

9. User content, visibility, and moderation

"Content" means material provided through the Services, including profile information, images, messages, submissions, branding, instructions, and other user-provided material. You retain rights you hold in your Content. You grant Intrface a nonexclusive, worldwide, royalty-free license to host, reproduce, format, transmit, and display it only as reasonably necessary to provide, secure, support, and administer the Services and the audiences or features you choose, subject to applicable privacy requirements. This license does not authorize unrelated advertising, sale of personal information, or perpetual reuse of private material.

You must have the rights and permissions necessary to submit Content and must not disclose another person's private information without authority. Public profiles, leaderboards, shared submissions, and networking features may make selected Content visible to the audiences described at the point of use. Sharing a profile or tapping another Participant's credential can disclose the profile fields selected for that interaction; it does not authorize harvesting, bulk export, or unrestricted marketing. Intrface may limit youth visibility and networking features.

Intrface may review, restrict, or remove Content and take account action for a violation of these Terms, a credible safety concern, or a legal requirement. Review may use proportionate automated tools and human review. We do not promise that every submission is reviewed before appearing, but this does not disclaim legally required safety or moderation duties. Where lawful and appropriate, we will provide reasons for a restriction and consider a request for review submitted to the contact in Section 30. We may withhold details where disclosure would prejudice safety, an investigation, or another person's rights.

Report suspected illegal content, intellectual property infringement, or harmful conduct to legal@intrface.app, identifying the relevant account, hub, or material and the basis of the concern. Include contact details and enough information to assess the report. Do not send illegal images or unnecessary sensitive information; identify their location instead. We may request reasonable additional information, remove or restrict material, and make reports required by law. A knowingly false or abusive report is prohibited.

10. Intrface intellectual property, feedback, and publicity

Intrface and its licensors retain all rights in the Services and their underlying software, designs, interfaces, methods, templates, campaign mechanics, documentation, trademarks, and improvements, excluding Content owned by Clients, Participants, and third parties. No rights are granted by implication. You may not remove ownership notices or use Intrface branding to imply an endorsement, certification, or partnership that has not been authorized.

Unless an Order expressly transfers identified rights, configurations, reusable components, integration code, templates, and custom development created by Intrface remain Intrface property. After the relevant fees are paid, the Client may use delivered reports and agreed deliverables for the purposes of the Order, subject to privacy restrictions and third-party rights. Client ownership of its own brand assets is unaffected. Source code, exclusive rights, and a right to operate Intrface software independently are not included unless expressly agreed.

You may voluntarily provide feedback. To the extent you have the relevant rights, you permit Intrface to use that feedback without payment or attribution to improve its offerings. This permission is perpetual, nonexclusive, worldwide, and royalty-free, but does not extend to confidential information or personal information merely because it is included in feedback.

Public use of a Client's name, logo, identifiable results, testimonial, or case study requires the Client's written permission unless independently permitted by law. Use of identifiable Participant images, recordings, or testimonials for Intrface marketing requires the relevant permission or other lawful authority. Participation or acceptance of these Terms alone is not a general publicity release.

11. Personal information and data responsibilities

11.1 No blanket ownership or consent. Personal information remains subject to the rights of the individuals concerned. Neither an Order nor a commercial payment transfers unlimited ownership of that information or supplies consent on its own. These Terms describe responsibilities; the applicable privacy notices, lawful bases, choices, and processing agreements govern how particular information may be handled.

11.2 Different roles. For processing carried out solely on a Client's documented instructions, Intrface acts as a processor or service provider where the applicable legal conditions are met. For a direct Intrface account, independently determined cross-event profile features, or other purposes determined by Intrface, Intrface is responsible for its own processing as a controller or equivalent responsible organization. The role depends on the actual activity, not only the contractual label. Where purposes are jointly determined, the parties must document the required joint arrangements. Intrface does not use a service-provider label to authorize independent commercial reuse.

11.3 Client responsibilities. Before importing a list, assigning a credential, or initiating collection, the Client must establish lawful authority for the activity and provide all required notices and permissions for the purposes it determines. This includes notices required where registration information comes from another source. The Client must ensure its Organizers and Sponsors follow the approved arrangements, provide reasonable evidence of permissions on request, and communicate withdrawals or restrictions promptly. Intrface remains responsible for its own obligations and must not knowingly process unlawful instructions.

11.4 Passive measurement. Passive RFID and similar systems may detect an enabled credential in a configured area without a Participant tapping or opening an application. This can produce records of detections, approximate zone presence, timing, and inferred dwell or movement. The applicable notice must explain the actual deployment, purposes, recipients, and available choices before collection. No general permission for continuous tracking outside an approved deployment is granted. Where activation or consent is required, the relevant processing must not begin until it has been validly enabled. Organizers must implement an approved alternative or exclusion process where necessary to make a choice effective. Notices must be clear, timely, and sufficiently prominent for the processing and applicable legal requirements.

11.5 Persistent profiles. Intrface may maintain a Participant's voluntarily established cross-event account, preferences, credentials, achievements, and permitted participation history for the disclosed purposes of that relationship. Connecting information from different events, using it for personalization, or retaining it for an independent Intrface purpose requires the corresponding lawful basis and any required permission. Importing a Client's attendee list does not automatically authorize creation of a direct marketing relationship or incorporation into a cross-event advertising profile. No Client or Sponsor automatically receives access to another event's records or a Participant's complete historical profile.

11.6 Sponsor disclosures. Identifiable Participant information may be disclosed to an Organizer or Sponsor only within the agreed event scope and a lawful, transparently disclosed purpose, with any required consent or other authorization. A sponsorship package alone is insufficient. The parties must identify the permitted recipients, fields, purposes, retention, and onward-disclosure restrictions. Separate marketing permissions must be obtained where required. A Participant's permission for one Sponsor, one event, or one purpose does not automatically cover all Sponsors, future events, or unrelated marketing. The youth restrictions in Section 3 also apply.

11.7 Aggregated and de-identified information. Intrface may create and use lawfully derived aggregated or de-identified information for analytics, benchmarking, research, service improvement, and factual case studies, provided the processing used to produce it is itself lawful and the resulting information meets the applicable legal standard for its use outside personal information requirements. Intrface must use reasonable measures against re-identification and must not intentionally re-identify it except where law permits or requires. Merely removing names, substituting identifiers, or describing a small group as an aggregate is not sufficient. Confidential Client identities and results remain protected unless publication is authorized. Information that remains reasonably linkable to a person remains subject to personal information protections.

11.8 Retention and rights. Retention must follow the applicable disclosed purpose, privacy notice, processing agreement, and law. Maintaining an account is not an entitlement to retain every raw event record indefinitely. Access, correction, deletion, objection, consent withdrawal, and other applicable rights may be exercised through the contact in Section 30 and the processes in the Privacy Policy. Intrface and the relevant Client must cooperate where responsibilities overlap. An individual is not required to pay a Client's outstanding invoice to exercise a privacy right.

11.9 Security, transfers, and incidents. Each party must apply appropriate administrative, technical, and physical safeguards for personal information under its control and meet applicable incident-response obligations. Intrface will notify the relevant Client without undue delay after becoming aware of a personal data breach affecting information it processes for that Client and provide available information reasonably needed for the Client's response, subject to law and the applicable processing agreement. Additional legally required notifications remain each responsible party's obligation. Cross-border processing requires the applicable assessment, contractual safeguards, and transfer mechanism; these Terms alone are not such a mechanism. No certification, data-residency guarantee, or absolute security warranty is implied.

11.10 Required processing arrangements. Where a data processing, service-provider, joint-controller, or data sharing agreement is required, the relevant processing must not start until it is in place and contains the required particulars. These Terms do not purport to replace all mandatory processing clauses or a deployment-specific processing schedule. Neither party may use this requirement to avoid obligations it already owes for information in its possession.

12. Service communications and marketing

Intrface and the relevant Organizer may send lawful operational communications needed for an account, requested event participation, security, administration, or delivery of Services. Promotional email, text messages, push messages, and Sponsor outreach must satisfy the applicable consent, identification, and unsubscribe requirements. Acceptance of these Terms, a device notification permission, or a networking interaction is not, by itself, consent to every type of marketing.

You may withdraw optional marketing permissions through the methods provided or by contacting the relevant sender. This does not prevent genuinely necessary nonpromotional communications that are otherwise lawful. Clients and Sponsors must maintain accurate permission and suppression records and must not re-import a person in a way that overrides a withdrawal. Changes to marketing preferences must not improperly exclude a person from an unrelated benefit or service.

13. Third-party services and integrations

The Services may connect to registration systems, identity providers, hosting services, device operating systems, communications tools, payment processors used for business invoices, or other third-party services. Separate third-party terms may apply to a User's direct use of those services. Clients must have authority to authorize integrations and the transfer of relevant information, and must protect integration credentials.

Intrface does not control third-party products or guarantee their continued availability or compatibility. However, this does not relieve Intrface of obligations it undertakes for selected suppliers, its own integration work, or legally required oversight of subprocessors. A third-party failure is not automatically a release from every obligation. Integration changes that materially affect an Order will be handled under the applicable change and termination provisions.

14. Availability, measurement, and service changes

14.1 Dependencies. Availability and results may depend on connectivity, electrical power, compatible devices and browsers, tag placement, radio interference, physical conditions, correct identity assignment, staff procedures, and Participant behavior. Detections can be missed, repeated, delayed, or associated incorrectly. Analytics may involve estimates, deduplication, sampling, and assumptions. Intrface does not promise that every person or interaction will be recorded, that a zone detection proves continuous presence, or that a metric independently proves attention, consent, a purchase, or commercial causation.

14.2 Outcomes and support. No minimum attendance, adoption, engagement rate, lead volume, Sponsor return, revenue, or other business outcome is guaranteed unless expressly stated as a binding commitment in an Order. No service-level agreement, 24-hour support, guaranteed response time, or uptime percentage is included unless expressly agreed. The absence of a numerical guarantee does not remove the express performance obligations in an Order or Section 22.

14.3 Changes. Intrface may improve or modify the Services and may offer clearly identified beta or experimental features. Beta features are not guaranteed for production use unless expressly included in an Order. Intrface will not use a general modification right to materially reduce a paid Order's agreed core functionality during its committed term without the Client's agreement or an appropriate remedy. Material changes affecting Participants will receive reasonable notice where practicable and any additional notice or consent required by law. Essential legal, security, or safety changes may be made sooner with an explanation when lawful.

15. Suspension, termination, and account closure

Intrface may restrict access where reasonably necessary to address a material breach of these Terms, suspected account compromise, fraud, unlawful use, a credible safety concern, a legal requirement, or an unpaid Client obligation as described in Part II. Measures must be proportionate to the issue. Except where immediate action is reasonably necessary or notice is prohibited, Intrface will give notice, an explanation, and a reasonable opportunity to address a remediable problem.

Participants may stop using the Services at any time and may request account closure through the available process or legal@intrface.app. Closing an account may end access to account-dependent features, subject to published reward rules and mandatory rights. It does not automatically cancel an independently issued prize entitlement or an Organizer's event admission contract. Intrface may discontinue a free service or close a persistently inactive account with reasonable advance notice and an opportunity to retrieve eligible information, unless law, safety, or another legitimate urgent reason prevents this.

Client termination rights, payments, remedies, and data return are addressed in Part II and the applicable Order. Ending access does not itself authorize retaining information indefinitely or changing its purpose. Obligations that appropriately survive include accrued payments, intellectual property, confidentiality, applicable data protections, lawful limitations of liability, and dispute provisions. Survival does not extend a license or privacy permission beyond its stated purpose or lawful duration.

PART II. ADDITIONAL TERMS FOR BUSINESS AND ORGANIZATIONAL CLIENTS

This Part applies only to Clients acting for business or organizational purposes. It does not impose payment obligations or a commercial indemnity on individual Participants.

16. Orders, scope, and Client authority

An Order becomes binding when accepted by authorized representatives of both parties, including a clearly recorded electronic acceptance. An inquiry, demonstration, draft proposal, promotional statement, or discussion does not itself commit either party to a deployment. Intrface is not required to reserve personnel, procure goods, or begin work until the applicable advance payments and material prerequisites are satisfied.

The Order should identify scope, delivery dates, functionality, quantities, locations, hardware sale or rental status, support coverage, reporting, approved expenses, Client responsibilities, and any approved variation from these Terms. Only expressly included items are committed deliverables. Changes must be approved in writing, including their effect on fees and timing. A requested change does not become free additional scope because it is requested close to an event.

The Client is responsible for its authorized instructions and for obtaining approvals from its Organizer, venue, agency client, and Sponsors. A Client that orders on behalf of another party remains the contracting Client and responsible for payment unless Intrface expressly accepts a replacement contracting entity. The arrangement creates no general agency, partnership, joint venture, or authority to make commitments for Intrface.

17. Fees, deposits, taxes, and payment

17.1 Default event schedule. Unless the Order states otherwise, 50% of the quoted service and equipment-rental fees is due upon Order acceptance. Quoted charges for custom goods and disclosed, approved non-cancellable third-party commitments are payable in full before the relevant procurement or commitment. The remaining quoted event service and rental fees are due 10 calendar days before the first scheduled deployment day. For an Order accepted within that period, all quoted fees are due upon acceptance and before work or procurement begins. The same charge is not payable twice under these categories.

17.2 Other invoices. Approved additional work, reimbursable expenses, and Services without a specified event date are payable within 15 calendar days after invoicing unless otherwise agreed. Prices are in United States dollars unless the Order specifies another currency. The Order or invoice must disclose applicable taxes and approved delivery, travel, or third-party costs. The Client is responsible for transaction taxes lawfully chargeable to it, but not taxes on Intrface's net income. Any legally required withholding must be documented promptly, and the parties will reasonably cooperate to avoid unnecessary withholding.

17.3 No attendee billing or automatic renewal. Intrface does not charge Participants for the participation covered by these Terms, hold Participant monetary balances, or operate a payment or cash-out system through participation features. Business fees are handled through separate commercial invoicing or authorized payment arrangements. No automatic renewal or recurring charge arises solely from accepting these Terms; any such arrangement requires express written agreement.

17.4 Disputes and late payment. Notify Intrface of a good-faith invoice dispute with reasonable detail, preferably within 15 calendar days of receipt, and pay undisputed amounts on time. This request does not waive a latent billing error, fraud claim, or non-waivable right. Overdue undisputed amounts may accrue simple interest at the lower of 12% per year (equivalent to 1% per month without compounding) or the maximum lawful rate. The Client must reimburse reasonable collection costs recoverable under applicable law.

17.5 Suspension. Intrface may pause procurement or commencement if a required advance payment is missing. For other overdue undisputed amounts, Intrface may suspend affected Services after at least 10 calendar days' written notice and an opportunity to pay. A payment dispute raised in good faith is not, by itself, grounds to suspend unrelated fully paid Services. Delayed payments may require a written adjustment of the deployment schedule. Statutory data rights and applicable data-return obligations remain unaffected.

18. Changes, cancellation, and rescheduling

18.1 Client cancellation. A Client may cancel by written notice. Unless an Order expressly establishes a different lawful cancellation commitment, the Client must pay for Services properly performed up to cancellation, custom goods already produced or irreversibly committed, and reasonable documented third-party or cancellation costs necessarily incurred for the Order that cannot reasonably be recovered or avoided. Intrface must take reasonable steps to mitigate costs, give credit for recoveries and reusable goods, and avoid double recovery. No additional flat cancellation penalty or automatic forfeiture of the entire deposit applies merely because an Order is cancelled.

18.2 Accounting and refund. Intrface will provide a reasonable accounting of amounts earned or committed. Subject to an expressly agreed additional commitment or approved scope change, cancellation charges will not exceed the applicable Order value. Prepayments exceeding the lawful amount due will be refunded within 30 calendar days after the final accounting, which Intrface will provide without unreasonable delay. Amounts reasonably in dispute will be addressed in good faith; undisputed refundable amounts will not be withheld solely because another amount is disputed.

18.3 Rescheduling. New dates are subject to availability and written agreement. Payments for reusable work or goods will be credited toward the revised Order, less applicable unavoidable costs. Additional travel, storage, procurement, staffing, or redesign costs require disclosure and written approval. If the parties cannot agree on a revised schedule, the cancellation provisions apply. Low attendance, a Sponsor's withdrawal, or an Organizer's inability to fund the event does not alone excuse the Client's payment obligations.

18.4 Intrface breach or cancellation. Either party may terminate an affected Order for the other's material breach after written notice and 15 calendar days to cure, or a shorter reasonable period where the event deadline makes 15 days impracticable. A non-curable material breach may permit immediate termination. If Intrface cancels without Client breach or an applicable force majeure event, or the Client validly terminates for Intrface's uncured material breach, Intrface will refund prepaid fees for the affected unperformed Services and undelivered goods. Other rights remain subject to the agreement and applicable law. This Section does not convert Intrface's own avoidable failure into a chargeable Client cancellation.

19. Deployment and on-site responsibilities

The Client must provide timely approvals, accurate participant imports, lawful instructions, required venue permissions, appropriate staff cooperation, and the access, power, connectivity, secure storage, and other site conditions allocated to it in the Order. Material assumptions and dependencies must be identified rather than imposed as undisclosed requirements after acceptance. The Client must promptly tell Intrface about relevant access, union, electrical, rigging, accessibility, safety, or site restrictions.

The Organizer is responsible for event production, crowd management, medical and security arrangements, lawful promotions, product sampling, permits, venue accessibility, and age-restricted product distribution unless expressly assigned otherwise. Intrface is responsible for the setup, operation, supervision, or teardown tasks it expressly undertakes. Neither party may rely on this allocation to avoid duties imposed directly on it by law or liability for its own personnel's acts.

The parties must complete reasonable agreed testing before activation. The Client must nominate a person authorized to approve configurations, tag mappings, access rules, prize rules, and material operational changes. A Client approval does not excuse a defect that Intrface knew about and failed to disclose. Live configuration changes require appropriate verification to avoid wrong identities, permissions, or rewards.

Intrface may stop unsafe or unlawful work. Delays or additional work caused by unmet Client dependencies may affect delivery and result in reasonable additional charges only after notice and approval of the changed scope, except reasonable emergency measures needed to prevent imminent harm. Temporary installations and adhesives require appropriate venue permission and safe placement. A Client is not liable for damage caused by Intrface's negligent installation simply because it approved a location.

Each party must maintain any insurance required by law and any additional coverage expressly required by the Order. Organizers must arrange insurance reasonably appropriate to the physical risks they control. These Terms do not represent that a particular Intrface policy, coverage limit, or insured status exists.

20. Equipment rental and sale of goods

20.1 Classification. Point-of-interaction tablets, RFID readers, antennas, and associated reusable equipment are rented unless the Order expressly states they are sold. Customized merchandise, credentials, wristbands, tags, and other designated custom products are sold. The Order controls the treatment of a particular item. Purchasing a physical item does not include indefinite hosting, support, reprogramming, replacement, or compatibility with future Services.

20.2 Rental ownership and care. Rental equipment remains Intrface's or its supplier's property. The Client must use it only as authorized, protect it while under the Client's custody or control, follow reasonable instructions, and not alter, encumber, sub-rent, or transfer it without permission. Intrface remains responsible for equipment while under its own exclusive custody or control. Ordinary wear, inherent defects, and loss caused by Intrface or its personnel are not chargeable as Client damage.

20.3 Loss and damage. The Client is responsible for loss, theft, or damage to rental equipment while in its custody or control, excluding the exceptions above and loss otherwise allocated to Intrface in the Order. Recoverable charges are limited to reasonable documented repair costs or, where repair is not economical, the reasonable replacement cost of equivalent equipment and necessary freight, less applicable insurance or salvage recoveries. Betterment and double recovery are excluded. Notify Intrface promptly of loss, damage, malfunction, or unsafe conditions.

20.4 Returns. Unless on-site collection or another deadline is specified, the Client must dispatch rental equipment within two business days after the agreed rental period using the return instructions and suitable protective packaging. Return freight is paid by the party specified in the Order, or by the Client if the Order is silent. The Client bears risk during a return it arranges until delivery to Intrface; where Intrface arranges and controls collection, risk transfers at documented handover to Intrface or its designated carrier. Any extended rental rate must be stated in the Order or separately agreed. Otherwise, Intrface may recover reasonable proven loss from a late return, not an unagreed daily penalty. Additional rental and replacement charges must not duplicate the same loss.

20.5 Sold goods, delivery, and inspection. Risk in sold goods transfers on delivery to the agreed destination and receipt by the Client or its designated recipient; title transfers when the applicable price is paid in full, subject to law. Intrface bears the risk of outbound carriage it arranges until that delivery. Different agreed delivery terms must be stated in the Order. The Client should report visible shortages, shipping damage, or obvious nonconformity within five business days after receipt. This does not waive a latent defect or a right that cannot lawfully be waived.

20.6 Custom production. The Client is responsible for the accuracy and legality of artwork, quantities, specifications, and proofs it approves. Production begins only after required approval and payment. After an irreversible production commitment, changes and convenience returns are not accepted unless separately agreed. This restriction does not eliminate remedies for Intrface's failure to meet the agreed specifications or for defective goods. Tolerances or substitutions must be disclosed and agreed, not presumed. The Client must safely dispose of items it retains and must not discard a credential containing personal information without appropriate safeguards.

21. Client information, confidentiality, and exports

21.1 Confidentiality. Each party must protect nonpublic information disclosed by the other that is identified as confidential or should reasonably be understood to be confidential. It may use that information only to perform or receive the Services or exercise lawful rights under the agreement, and disclose it only to personnel, professional advisers, and permitted contractors with a need to know and appropriate confidentiality duties. Reasonable care, and no less than the care used for its own similar information, is required.

The restriction does not apply to information the recipient can demonstrate was lawfully known without restriction, independently developed without use of the disclosure, lawfully received from another source, or publicly available without breach. Legally compelled disclosure is permitted with advance notice and reasonable cooperation where lawful. Confidentiality continues for five years after the relationship ends; trade secrets remain protected while they qualify as trade secrets, and personal information remains protected as required by law and the applicable privacy agreements.

21.2 Client materials and outputs. The Client retains its rights in supplied materials and information, subject to Participant and third-party rights. Intrface may process them only within the applicable agreement and Section 11. The Client may use ordered reports for its legitimate business purposes and disclose them to authorized stakeholders only consistently with the approved data permissions and confidentiality duties. Personal information exports do not grant a general right to sell, publish, or repurpose them. Client materials are not licensed for training a general-purpose AI model through the limited service license in these Terms.

21.3 Export period. Unless a different lawful period is agreed, the Client may request one standard export of the Client information and reporting outputs it is entitled to receive within 30 calendar days after an Order ends. Intrface will supply it in an available commonly used machine-readable or report format without an additional export fee. Custom transformations or additional assistance may be quoted separately. Information already lawfully deleted under a previously disclosed shorter schedule cannot be restored, and the parties should resolve any incompatible schedule before collection. Privacy rights and required processor return or deletion obligations take priority over this commercial export period.

21.4 End of processing. After the applicable export period, information processed solely for the Client will be returned or deleted according to the processing agreement, documented instructions, and law. Limited legally necessary retention and backup handling must be protected and time-bounded under the applicable schedule. Ending a Client relationship does not necessarily close a Participant's separate, lawfully established Intrface account, but it does not authorize moving Client-only records into that account or retaining them for a new purpose without lawful authority.

22. Performance commitments, goods warranty, and disclaimers

22.1 Services. Intrface will perform agreed professional services with reasonable care and skill and use commercially reasonable efforts to make the paid platform functionality perform materially in accordance with the express description in the Order during its agreed term. The Client must promptly notify Intrface of a material failure with sufficient information to investigate. Intrface will use reasonable efforts to correct or reperform the affected Services. Where that cannot reasonably remedy the failure, including where an event-specific opportunity has passed, Intrface will refund the fees reasonably attributable to the materially nonconforming portion.

22.2 Sold goods. For 90 calendar days after delivery, Intrface warrants that sold goods will materially conform to the agreed specifications and be free from material defects in materials and workmanship under normal authorized use. The Client must notify Intrface promptly after discovering a defect during that period. Intrface will, at its expense and option, repair or replace the affected goods or refund their price if repair or replacement is not reasonably practicable. This warranty does not cover misuse, unauthorized alteration, ordinary wear, or defects caused by Client-provided designs, except to the extent Intrface undertook responsibility for the relevant design. Applicable manufacturer warranties may provide additional rights to the extent transferable.

22.3 Rental issues. Intrface will supply rental equipment in reasonably serviceable condition for its agreed use. Upon prompt notice of a failure not attributable to the Client, Intrface will use reasonable efforts to repair, replace, or provide a practicable workaround. If the failure materially prevents the agreed use and cannot be remedied in time, the Client is entitled to a proportionate refund of the affected rental charge.

22.4 Scope of remedies. To the extent lawful, the remedies in this Section are the exclusive contractual remedies for a breach of the specific express warranties in this Section. They do not replace remedies for a separate confidentiality or data-protection breach, an applicable indemnity, fraud, or another obligation that cannot be restricted. No exclusive remedy applies where doing so would be unlawful or the remedy fails of its essential purpose.

22.5 Business disclaimer. EXCEPT FOR THE EXPRESS COMMITMENTS IN THE AGREEMENT AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, THE SERVICES AND GOODS ARE PROVIDED WITHOUT OTHER WARRANTIES OR CONDITIONS, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Intrface does not warrant uninterrupted or error-free operation, perfect measurement, or any business outcome. This business disclaimer is subject to applicable reasonableness requirements and does not apply to individual Participants as a substitute for Section 25.

23. Business indemnities and third-party claims

23.1 Client indemnity. The Client will defend Intrface and its officers, directors, employees, and contractors against a third-party claim to the extent arising from Client-supplied Content infringing that party's rights; the Client's unlawful collection, disclosure, marketing, or other use of personal information; unsafe or unlawful event activities, promotions, products, or prize fulfillment controlled by the Client; or the Client's material misuse of the Services in breach of the agreement. The Client will pay damages and reasonable defense costs finally awarded, and settlements it approves. The indemnity does not apply to the extent a claim is caused by Intrface's breach, negligence, or unlawful conduct. It does not require payment of a regulatory fine or penalty whose transfer is unlawful.

23.2 Intrface software IP indemnity. Intrface will defend the Client against a third-party claim that the Client's authorized use of Intrface-owned software supplied under a paid Order infringes that party's patent, copyright, or trademark in the United States, Canada, or United Kingdom, and will pay damages and reasonable defense costs finally awarded and settlements Intrface approves. This obligation excludes claims caused by Client materials, unauthorized modifications, use outside the agreed scope, or a combination with material not supplied or required by Intrface where the claim would not otherwise have arisen. Third-party hardware and software are covered only by warranties or indemnities expressly passed through or separately agreed.

If a covered infringement claim arises or is reasonably likely, Intrface may obtain continued-use rights, replace or modify the affected software without materially reducing its agreed function, or, if neither is commercially reasonable, terminate the affected portion and refund unused prepaid fees for it. Subject to mandatory law, this is the Client's exclusive contractual remedy for such a software infringement claim and is subject to Section 24.

23.3 Procedure. The protected party must give prompt written notice, reasonable cooperation at the defending party's expense, and reasonable control of the defense to the defending party using competent counsel. Delayed notice relieves the defending party only to the extent materially prejudiced. The protected party may participate with its own counsel at its own expense. No settlement may admit fault by, impose nonmonetary duties on, or fail to provide an appropriate release to the protected party without its written consent, not unreasonably withheld. No indemnity authorizes interference with a regulator or a person's statutory rights.

24. Business limitations of liability

24.1 Excluded losses. SUBJECT TO SECTION 24.4, INTRFACE WILL NOT BE LIABLE TO A CLIENT FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS ARISING FROM THE AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. This exclusion does not exclude a direct refund expressly owed, reasonable direct data-restoration costs otherwise recoverable for Intrface's breach, or amounts owed under Intrface's express indemnity, each subject to the applicable cap below.

24.2 General cap. Subject to Sections 24.3 and 24.4, Intrface's total aggregate liability arising out of or relating to an affected Order will not exceed the greater of US$1,000 and: for a one-time deployment or goods Order, the total fees paid or payable under that Order; or, for an expressly recurring service Order, the fees paid or payable for the affected Services during the 12 months immediately preceding the first event giving rise to the claim. Multiple claims from the same or related events do not create additional caps. Where a claim genuinely affects more than one Order, the relevant fees for those Orders are combined once; the US$1,000 floor is not multiplied.

24.3 Enhanced cap. For Intrface's breach of its confidentiality, personal information protection, or security obligations, and Intrface's obligations under Section 23.2, the aggregate cap is twice the applicable general cap. All defense costs and amounts paid toward an indemnified claim count toward, and do not increase, the enhanced cap. The general and enhanced caps do not stack: Intrface's combined aggregate liability for capped claims relating to the same affected Order or Orders will not exceed the enhanced cap where it applies. This is a contractual allocation between Intrface and the Client, not a limit on a regulator's powers or a nonparty's statutory claim.

24.4 Non-excludable matters. No exclusion or cap limits liability for fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, bodily or moral injury where Quebec law prohibits restriction, or any liability that cannot lawfully be excluded or limited. Applicable statutory reasonableness and fairness requirements also apply. Payment of an expressly owed refund or return of an overpayment is not avoided by the exhaustion of a damages cap. The Client's obligation to pay properly due fees or return or account for rental equipment is not reduced by Intrface's cap.

24.5 Commercial allocation. Subject to those protections, the parties intend this Section to allocate commercial risk in light of the agreed scope and fees. A different allocation, insurance requirement, or service guarantee must be expressly agreed. No employee, officer, founder, or contractor provides a personal guarantee merely by acting for Intrface. This does not eliminate any person's independent liability imposed by law.

PART III. GENERAL AND REGIONAL PROVISIONS

25. Individual Users, reasonable care, and mandatory rights

For Users acting personally rather than as Clients, Intrface will exercise reasonable care and skill in providing the Services. Free access does not, by itself, remove any consumer or privacy rights that apply. The business indemnity and the financial caps in Part II do not apply to such Users.

Subject to the protections below, Intrface is not responsible for loss caused solely by an independent Organizer or Sponsor where Intrface did not undertake the relevant obligation and is not otherwise responsible under law. Intrface is not responsible for a User's avoidable loss caused by ignoring clear reasonable safety instructions or for unforeseeable loss to the extent applicable law permits that distinction. Intrface remains responsible for loss caused by its own breach or failure to use reasonable care to the extent required by law. A court may allocate responsibility where more than one party contributed to a loss.

Nothing in these Terms restricts liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or other liability that cannot lawfully be restricted. These Terms do not require a User to waive privacy rights, make a general release of physical injury claims, or indemnify Intrface for its own conduct. Mandatory regional protections in Section 28 prevail over any inconsistent wording elsewhere.

26. Events beyond reasonable control

Neither party is responsible for a delay or failure to the extent caused by an event beyond its reasonable control that it could not reasonably prevent or overcome, such as a natural disaster, government restriction, widespread infrastructure failure, or comparable extraordinary event. The affected party must notify the other promptly, mitigate the effects, and resume performance when practicable. This provision does not excuse a failure caused by inadequate ordinary preparation, lack of funds, or a party's own breach of an obligation to provide the affected resource.

The parties will discuss a practicable replacement arrangement. Either may terminate the affected unperformed portion if the event makes timely performance of the essential event-specific purpose impossible, or if a material interruption continues for more than 30 calendar days. For Clients, fees remain due for properly completed work, delivered goods, and approved nonrecoverable commitments genuinely incurred for the affected Order, subject to mitigation and no double recovery. Unused prepaid amounts beyond those obligations will be refunded. Individual Users retain all mandatory rights, and prize or admission obligations remain governed by their applicable rules and law.

27. Governing law and disputes

27.1 Business disputes. Unless a controlling agreement states otherwise, these Terms and an Order incorporating them are governed by Nevada law, excluding conflict-of-laws rules to the extent that exclusion is lawful. For disputes with Clients, the parties submit to the exclusive jurisdiction of the state courts in Clark County, Nevada, and the United States District Court for the District of Nevada, as appropriate. The United Nations Convention on Contracts for the International Sale of Goods does not apply to the extent it may lawfully be excluded.

27.2 Individual Users. Nevada law applies to an individual User's agreement only to the extent permitted by law and without depriving that User of mandatory protections of the place where they habitually reside. Individual Users may bring proceedings in any court available under applicable consumer or other mandatory jurisdiction rules. Intrface will not require a consumer in Canada or the United Kingdom to litigate in Nevada as a condition of exercising a right that must be available locally. Intrface will bring a consumer claim only in a court permitted by applicable law.

27.3 Informal resolution. The parties are encouraged to contact each other with a clear description of a dispute and attempt good-faith resolution for 30 calendar days where practicable. This is not a condition that prevents urgent relief, a statutory complaint, or filing before a deadline, and it does not shorten a limitation period. Neither party is required by these Terms to use arbitration. These Terms impose no class-action waiver or jury-trial waiver. The parties may voluntarily agree to mediation or another process for a particular dispute after it arises.

28. Regional protections

28.1 Canada. Applicable federal, provincial, and territorial consumer, privacy, human rights, accessibility, and other mandatory protections remain in force. A limitation, choice of law, or dispute provision is ineffective to the extent it would deprive a User of a right that cannot be waived. An individual is not treated as a business Client merely because a business paid for an event.

28.2 Quebec. Where Quebec law applies, nothing in these Terms excludes or limits liability for bodily or moral injury or for material injury caused by intentional or gross fault where prohibited. Quebec consumers retain the jurisdiction and substantive protections afforded by applicable Quebec law. The protections applicable to abusive, unintelligible, or otherwise unenforceable terms remain unaffected. Applicable French-language contracting requirements must be met. Where the law requires a French version to be provided or made accessible before an express choice of another language, that process must occur before acceptance. Acceptance of English text alone is not an acknowledgment that a French version was supplied, and no clause here requires a User to waive a French-language right. Where a legally applicable rule permits reliance on the more favorable language version, that rule prevails.

28.3 United Kingdom. Nothing in these Terms excludes or restricts rights or remedies under applicable UK consumer law or liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or other liability that cannot be restricted. Where statutory standards for reasonable care and skill, fairness, digital content, or goods apply, they remain applicable. Contractual restrictions applicable to a business Client are subject to any mandatory reasonableness test. A consumer retains applicable local court rights in England and Wales, Scotland, or Northern Ireland, as relevant. Intrface and Clients remain responsible for their respective obligations under applicable UK privacy and online safety law.

28.4 United States. Applicable state and federal rights remain in force. No provision waives a privacy right, non-waivable statutory remedy, protected right to provide an honest review, or right to seek public injunctive relief where such a waiver is prohibited. Contractual limits do not restrict government enforcement powers. Additional state-specific requirements must be addressed where the relevant activity triggers them.

29. Changes to these Terms

Intrface may revise these Terms to reflect changes to the Services, law, safety requirements, or legitimate operational needs. The revised version will identify its effective date. For a material change to an existing User relationship, Intrface will provide conspicuous advance notice, ordinarily at least 30 calendar days, and obtain renewed acceptance where required. Shorter notice may be used for urgent legal, security, or safety reasons when permitted, with an explanation as soon as reasonably practicable.

A revision does not apply retroactively to conduct, disputes, paid commitments, or information uses governed by an earlier version. Existing Orders remain governed by their agreed version unless the parties validly amend them. A new privacy purpose requires its own lawful basis, notice, and any required consent; a change to these Terms is not a substitute. Where a User does not accept a material change requiring acceptance, Intrface may end the affected prospective free service on reasonable notice, while preserving accrued rights and applicable export and privacy rights. Paid Services may be ended or changed only as the controlling agreement and law permit.

30. General provisions and contact

30.1 Assignment and subcontracting. Neither a Client nor Intrface may assign an Order in a way that unlawfully diminishes the other party's rights. A Client may assign to an affiliate or successor to substantially all of the relevant business with prior notice, provided the assignee can perform and the assignment does not materially increase Intrface's risk or extend the scope. Other Client assignments require consent, not unreasonably withheld. Intrface may assign to a successor in a genuine reorganization, merger, or sale of the relevant business that assumes the obligations, subject to legally required notice and privacy safeguards. Assignment does not authorize an incompatible new use of personal information. Intrface may use qualified subcontractors but remains responsible for its contractual obligations and required subprocessor oversight.

30.2 Entire agreement and purchase forms. These Terms, the accepted Order, and documents validly incorporated into them constitute the agreement on their subject matter, subject to Section 2. Client purchase-order boilerplate or supplier-portal terms do not amend the agreement unless expressly accepted by an authorized Intrface representative. No integration clause excludes fraud, legally binding representations, or mandatory rights.

30.3 Severability and waiver. If a provision is invalid, the remaining provisions continue only to the extent the agreement can lawfully and reasonably operate without it. A court may modify a provision only where legally permitted. Delayed enforcement is not a waiver, and a waiver of one breach is not a waiver of another.

30.4 Compliance. Each party must comply with sanctions, export controls, and other laws applicable to its own activities. A Client must not deploy regulated hardware in a location or configuration for which it lacks required authorization. Any jurisdiction-specific approvals and responsibilities should be documented in the Order. Services are not automatically available in every location simply because a website can be accessed there.

30.5 Notices and electronic records. Orders and permitted amendments may be accepted electronically, provided the parties can identify the accepted content and retain a copy. Formal notices to Intrface must be sent to the email below or to its mailing address, identifying the relevant account or Order. Intrface may send notices to a Client's designated contact and may use appropriate in-product or direct notices for Participants. For a notice requiring receipt, a delivery failure or an uncommunicated website update does not establish receipt. This clause does not replace rules for formal service of legal proceedings. Unless expressly stated otherwise, calendar days are used; "business day" excludes Saturdays, Sundays, and public holidays at the agreed place of performance, or in Nevada if none is specified.

30.6 Contact. Questions about these Terms, account review requests, privacy requests, and legal notices may be directed to:
